Shipments
Parts are packed ready for airfreight, truck or parcel post shipments. Packaging and labeling of all items will conform to ATA 300 Specifications, if applicable.
Prices
Prices in this catalog are in US Dollars and are effective for Orders received and items delivered prior to December 31, 2024. The prices identified in this catalog shall not replace any existing negotiated prices with the individual business units. Prices in this catalog exclude any applicable taxes, tariffs, duties, and other fees imposed by any government authority worldwide. Airline operators should utilize the Airline Net pricing for product and service purchases.
Order Administration
The individual locations of Acron Aviation will confirm receipt of purchase order by an order acknowledgment reflecting shipping dates, price and part number. In the case of conflict between the terms and conditions of this Price Catalog and any purchase order issued to Acron Aviation Avionics or its individual locations, the terms and conditions of this Product Catalog and any amendment thereto shall prevail. Acceptance and/or acknowledgment of purchase orders shall not be construed as a waiver to the order of precedence herein.
Credit Card Acceptance
MasterCard and Visa. Additional fees may apply. Each transaction must identify cardholder, card number, expiration date, correct billing address and invoice number(s) to clear.
Payment Information
If your company has an established account with Acron Aviation, which is not past due, invoices shall be paid in accordance with the terms of the credit agreement. If you have not established credit with Acron Aviation, or your account is past due, shipments will be made on a Cash Before Delivery basis (CBD) payable by credit card, check or wire transfer. Please indicate which invoice number(s) you wish to be cleared with your payment. Payments must be deposited in the appropriate bank account by the agreed-to payment date on approved credit. In the event you refuse to accept a shipment, and the unit is returned to Acron Aviation undelivered, you will be liable for all shipping and restocking costs incurred.
New Account
To establish an account and to place orders, we will need the following: export compliance certificate and a completed customer credit/account application. Training
Acron Aviation Avionics offers Classroom, Web Based, and On-Site training programs for certain products. We encourage customers to send their department representatives (Operations Instructors, Maintenance Instructors, and Engineering Staff) to attend the scheduled training classes as indicated in the Acron Aviation Avionics or its individual locations Training Enrollment Form. By this method customers can take advantage of the classroom environment, hands on lab and on aircraft training procedures and gather data specifically needed to meet their training requirements.
The Web-based training (WBT) classes provide standardized training ensuring a consistent message in supporting Acron Aviation Avionics LRUs. The Web-based training is more convenient for our customer – it is anytime, anywhere. The student takes the training at their desktop computer, and no travel is required
Acron Aviation offers customized online and in-person training programs, including on-site Acron Aviation instructors (security and safety restrictions may apply). Travel related expenses (Hotel/Airfare) are not included in the training price.

Express Readout Services
Acron Aviation is the world’s largest provider of flight data analysis and recorder verification services. Express Readout is a patented, automated, web-based readout service that reduces maintenance costs and time using a self-service solution.
Flight Data Recorder (FDR) readout
The automated FDR analysis complies with the FAA AC 20-141B document, Appendix 4 “TYPICAL REASONABLENESS AND QUALITY CHECK INSTRUCTIONS”. A summary sheet showing details of the aircraft, recorder and readout process, reference to the airworthiness requirement against which the test was conducted, a statement of compliance and a serviceability status
Cockpit Voice Recorder (CVR) readout
The analysis process will follow the “Guidance on CVR recording Inspection” produced by the Flight Recorder Partnership Group (EFRPG) and published by the Bureau d’Enquêtes et d’Analyses (BEA) in 2018. All CVR readouts will include Level 2 intelligibility analysis
CVR Datalink Decoding (DLR) readout
The Datalink messages between ATC and the aircraft are controlled by the Communications Management Unit (CMU) and displayed in the cockpit. They are packed into ARINC 429 words and sent to the CVR for recording. The Acron Aviation readout service decrypts the messages into readable text. The report provides proof that the messages are being recorded by the CVR.

Returning Products to Acron Aviation Commercial Avionics
Prior to returning any product to any location of Acron Aviation Commercial Avionics, a Warranty Return Material Authorization (RMA) must be issued by the Seller. Any returns without an RMA may not be accepted by the Seller. Once a Warranty RMA is assigned, the Buyer will be required to list the RMA#, Original PO#, quantity of potentially defective parts, and details regarding the failure on the Return Paperwork, Shipping Documentation, and any resultant PO. Upon return authorization, such products shall be shipped to the Seller as explicitly directed on the Warranty RMA form. All units are to be shipped prepaid to the individual repair center locations of Acron Aviation in an appropriate shipping container (ATA 300 standard packaging) to avoid damage during transit.
Domestic Returns
All Acron Aviation Commercial Avionics products shall be returned per INCOTERMS 2020 DAP Acron Aviation Commercial Avionics facility for domestic shipments. Commercial Avionics facility for domestic shipments.
International Returns
The international shipper is responsible for all freight charges and customs clearance. All Acron Aviation Commercial Avionics products shall be returned per INCOTERMS 2020 DAP for international shipments. All international customers must call the individual service locations’ administration department prior to shipping an item to Acron Aviation for repair, modification, upgrade or enhancement. - All purchase orders (“Orders”) are subject to acceptance by Seller, and Seller’s acceptance of Buyer’s Order is expressly made conditional on Buyer’s acceptance of these Terms, which are in lieu of any additional or different terms contained in Buyer’s Order.
- Orders shall include purchase quantity, price and delivery dates while taking into account the standard lead- time for any product sold to Buyer by Seller (“Products”). Where the Parties have mutually agreed in writing to terms other than these Terms, the Order shall contain wording in substantially the following form: "This Order is subject to the agreement reference number [AGREEMENT/QUOTE NAME/NUMBER] by and between Buyer and Seller."
Software & Licenses
- To the extent any Product delivered under an Order includes or contains any computer software, firmware and associated documentation (“Software”) in any form or media, and subject to these Terms, Seller grants to Buyer a limited, personal, non-exclusive license for use of the Product Software exclusively with the Product hardware. This License may be transferred only upon transfer of the Product(s).
- If Software is delivered in printed or machine-readable form, Buyer is granted a non-exclusive, non- transferable license to use Software in the normal course of Buyer’s business, and for no other purpose or business; no source code will be supplied. The Buyer shall make only a single copy of the Software for use only as a backup and shall label the copy of the Software with the copyright, trademark and proprietary notices in the same form which appear in or on the Software and related materials delivered to Buyer by Seller.
- In addition to the Software and any derivatives thereof being the Intellectual Property of the Seller (see Section 13 below), Software structure, organization and code are the valuable trade secrets of Seller. All Software, documentation, and design information shall be considered Confidential Information of Seller and shall not be disclosed by Buyer to a third party, except as expressly permitted in writing by Seller. Buyer acknowledges and agrees that any violation of the Software licenses will amount to irreparable harm to Seller and Seller will be entitled, in addition to any other rights and remedies it may have at law or in equity, to injunctive relief without the necessity of posting bond. Buyer shall be responsible for indemnifying Seller for any cost incurred by Seller to prevent such injury.
- Buyer may not rent, lease, transfer, network, display, or distribute the Software except as expressly permitted under these Terms. Buyer may install copies of the software solely as needed to make use of these license rights. No other licenses to the Software are granted to the Buyer or any third-party. If Buyer sells or otherwise disposes of Buyer-owned media on which any Software is fixed, such media must be erased before any sale or disposal. These Terms shall also apply to any and all upgrades, enhancements, updates and derivative versions of the Software; however, Seller is under no obligation to supply updates to the Software except where expressly agreed to by the Parties in writing.
Product and Software
- Buyer shall maintain all copyright, proprietary and other notices on Software and shall not cause any labels or notices on Products, Software, packaging, documentation, data, or media to be modified, removed, suppressed, or in any other way made inconspicuous.
Changes
- Buyer may at any time request changes to the Order within the general scope of work called for. If such changes cause an increase or decrease in the price of the items, Buyer shall be notified to this effect, and Seller shall not be obligated to proceed with such changes until it receives a written change Order and agrees in writing to accept such change. Seller shall also be entitled to an extension of the delivery schedule as a result of such change(s).
Taxes & Duties
- All prices for Seller’s Product and Licenses are current as of the date stated in the quotation or the date of the quotation, whichever is most recent. All prices are exclusive of all local, state or federal taxes, assessments, import duties, and other charges (collectively “Charges”) imposed by any government (except charges based upon Seller’s net income), all of which shall be paid directly by the Buyer. Buyer will not be responsible for Charges where the Buyer provides Seller with a tax exemption certificate acceptable to the applicable taxing authorities. If for any reason Seller is required to pay any Charges on behalf of the Buyer, the Buyer shall reimburse Seller upon invoice for any Charges the Seller pays
Delivery
- Title, & Risk of Loss: Seller reserves the right to deliver early. Title to the Product shipped and all risks of loss pass to Buyer upon Seller’s delivery to common carrier at Seller’s plant. Shipping shall be FCA Seller’s Plant per the ICC 2020 Incoterms.
Packing
- Packaging and Marking: Seller will provide packing, packaging and marking in accordance with commercial practices at the quoted prices. Seller reserves the right to adjust the quoted price for any unique or special requirements requested by the Buyer.
Force Majeure
- Seller shall not be liable for any failure or delay in its performance under an Order arising from any cause beyond Seller’s or its suppliers’ reasonable control and without its fault or negligence, including but not limited to acts or omissions of the Buyer, acts of nature, war, or the public enemy, acts of any government agency or authority, fires, floods, epidemics and other public health circumstances (including by not limited to quarantines and COVID-19), strikes, labor disturbances, freight embargoes, public disorders, riots, unusually severe weather (“Force Majeure”). Buyer shall not be relieved of its obligation to make timely payment to Seller by reason of a Force Majeure event.
Terms of Payment
- Payment terms are net thirty (30) days from date of invoice on approved credit, with no discount for earlier payment. Payments shall not be subject to offset or setoff. Acceptance of a partial payment by Seller shall not be a waiver of the right to be paid the remainder due. Any delay in payment may be subject to late payment fees, up to the maximum rate permitted by law. To the extent Buyer shall fail to make payment as specified herein, or if for any other bona fide reason Seller seems itself to be insecure as to payment, Seller may, at its sole discretion, demand that Buyer make full or partial payment in advance, accept bills of exchange, open for Seller’ benefit and at no cost to Seller, documentary letters of credit or obtain bank guarantees, or provide other satisfactory security or guarantees that invoices will be promptly paid when due.
Cancellation
- Orders accepted by Seller are not subject to cancellation by Buyer except with the express written consent of Seller. In the event Seller consents to cancellation, Buyer will be advised of applicable cancellation charges, which may include charges for raw material, work in process and finished goods applicable to the Order, together with applicable overhead and reasonable profit. Minimum cancellation charges shall be as follows:
Returns
- In the event that Seller consents to a return, the Buyer shall be responsible for all applicable freight, refurbishing, retesting and certifying fees. Additionally, the Buyer shall be responsible for the restocking fee as shown in the applicable published catalog. All returns must be accompanied by a Seller’s return authorization number (“RMA”) which will be issued by the applicable Seller facility.
Airline Net Pricing
- If the Buyer received Airline Net Pricing from Seller for Product under an Order, such Product shall be exclusively for the use of the Buyer, and the Buyer agrees it shall not sell or otherwise transfer the Product to another party, or use the Product to repair or service third party equipment, without the Seller’s written permission. The Buyer agrees to provide evidence for and permit reasonable audits to demonstrate compliance with this Airline Net Pricing requirement. Buyer agrees to pay liquidated damages for any unauthorized sale, transfer, or use of the Product in an amount no less than the difference between the Airline Net Pricing and Seller’s catalog price for the Product.
Intellectual Property
- (All rights and interest to the inventions, information, technical data or drawings, copyrights rights, patent rights, trademark rights, know-how, trade secrets, related intellectual property, intangible and proprietary rights throughout the world, relating to the Product or Software or disclosed to Buyer in connection with any Order or proposal, are the exclusive property of Seller (“Owned Assets”). Buyer shall not (a) Decompile, reverse engineer, disassemble, trace or otherwise analyze the Product or Software, their content, operation, or functionality; (b) Modify, adapt, translate, nor create derivative works based on the Product or Software; (c) Attempt to discover the source code or object code of any Software unless such restriction is deemed a violation of the law; or (d) Disclose any proprietary information regarding the Owned Assets to any other persons or companies without Seller’s prior written approval.
Inspection and Acceptance
- Buyer’s acceptance of Product shall occur upon delivery to the FCA point and will be presumed unless Buyer demonstrates within fourteen (14) days thereafter that the Product does not conform to the Warranty set forth herein. Buyer agrees to make inspection of the Products delivered hereunder immediately upon receipt thereof.
Buyer Property
- Seller shall not be liable for loss or destruction or damage to Buyer property, including property which is the subject of this Order, whether owned by Buyer, the US Government, or others, except to the extent that Seller is reimbursed or compensated for any loss of or destruction of or damage to such Buyer property or which results from willful misconduct or lack of good faith on the part of Seller managerial personnel.
Laws and Export
- Seller shall not be liable for loss or destruction or damage to Buyer property, including property which is the subject of this Order, whether owned by Buyer, the US Government, or others, except to the extent that Seller is reimbursed or compensated for any loss of or destruction of or damage to such Buyer property or which results from willful misconduct or lack of good faith on the part of Seller managerial personnel.
- Each Party will comply with applicable federal, state and local laws and regulations as of the date of Seller’s acceptance of Buyer’s Order which relate to equal employment opportunity (including applicable provisions of Executive Order 11246, as amended), workmen’s compensation, and the manufacture in Seller’s facilities of the Products delivered hereunder (including applicable provisions of the Fair Labor Standards Act of 1938, as amended). The price and, if necessary, delivery of any Product will be equitably adjusted to compensate Seller for the cost of compliance with laws or regulations except as specified above.

- Unless otherwise agreed in writing, the following General Terms and Conditions of Sale (“Terms”) shall govern all Buyer purchase orders accepted by Seller. Buyer and Seller are hereafter also referred to individually as a “Party” or collectively as the “Parties”.

Indemnification
- Buyer shall defend, indemnify, and hold harmless Seller, its parents, subsidiaries and affiliates, and their respective directors, officers and employees and representatives, from and against any and all claims, suits, losses, obligations, causes of action, damages, and expenses (including attorney’s fees and other expenses incurred by or imposed upon the Seller in connection with the defense of such claims) relating to or arising out of any use by the Buyer or its customers of the Product supplied by the Seller.
- Buyer agrees to notify Seller promptly in writing of any notice, suit or other action against Buyer based upon a claim that the Products delivered by Seller under an Order infringe a U.S. patent, copyright, or trade secret of a third party. Seller will defend at its expense any such action, except as excluded below, and shall have full control of such defense, including all appeals and negotiations. Buyer will provide reasonable assistance to Seller in such defense. Seller will pay all settlement costs or damages awarded against Buyer, but Seller shall not be liable to Buyer for any indirect, consequential or incidental damages, including but not limited to, loss of profits.
- In the event of such notice, suit or action, Seller may at its option and at its expense procure for Buyer the right to continue using the Product or services or modify the Product or services to render such non-infringing, or accept return of the Product and replace such with a substantially equivalent non-infringing Product, or accept return of the Product and refund or credit to Buyer the amount of the original purchase price, less a reasonable charge for depreciation and damage.
- The preceding agreements by Seller in this clause shall not apply (1) to any Product or portion thereof, manufactured to specifications furnished by or on behalf of Buyer; (2) to any infringement arising out of the use of the Product or services in combination with other equipment not furnished by Seller; (3) to use in a manner not normally intended; (4) to any patent, copyright, or trade secret in which Buyer, or subsidiary or affiliate thereof, has a direct or indirect interest; (5) if the claim arises out of compliance with an industry standard; (6) if Buyer did not provide Seller with prompt notice, authority, information and assistance necessary to defend the action; (7) if any supply to be furnished under this Order is to be delivered to the United States Government, unless Buyer’s contract with the Government for the product obligates Buyer to provide indemnification to the Government for intellectual property rights infringement, but in that event, only to the same extent as Buyer’s obligation. The foregoing states the entire liability of Seller for patent, copyright, trademark and trade secret infringements by the Products or services delivered by Seller under an Order.

Limitation of Liability
- IN NO EVENT SHALL SELLER BE LIABLE FOR INDIRECT, SPECIAL, CONSEQUENTIAL, MULTIPLE OR PUNITIVE DAMAGES, OR ANY DAMAGE DEEMED TO BE OF AN INDIRECT OR CONSEQUENTIAL NATURE ARISING OUT OF OR RELATED TO ITS PERFORMANCE UNDER THIS ORDER, WHETHER BASED UPON BREACH OF CONTRACT, WARRANTY, NEGLIGENCE AND WHETHER GROUNDED IN TORT, CONTRACT, CIVIL LAW OR OTHER THEORIES OF LIABILITY, INCLUDING STRICT LIABILITY. TO THE EXTENT THAT THIS LIMITATION OF LIABILITY CONFLICTS WITH ANY OTHER PROVISION(S) OF THIS ORDER, SAID PROVISION(S) SHALL BE REGARDED AS AMENDED TO WHATEVER EXTENT REQUIRED TO MAKE SUCH PROVISION(S) CONSISTENT WITH THIS PROVISION. IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF SELLER OR ITS SUBCONTRACTORS OR SUPPLIERS OF ANY TIER WHETHER IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE FOR THE PERFORMANCE OR BREACH OF THE ORDER OR ANYTHING DONE IN CONNECTION THEREWITH EXCEED THE ORDER PRICE. NOTWITHSTANDING ANYTHING ELSE IN THE CONTRACT TO THE CONTRARY, THE STATED MONETARY LIMITATION HEREINABOVE IS THE MAXIMUM LIABILITY SELLER HAS TO THE BUYER.
Liquidated Damages
- The damages that Buyer would suffer as a result of delayed deliveries would be difficult and impractical to determine or anticipate. In lieu of actual damages, in the event of a delayed delivery for reasons other than Force Majeure, Seller shall pay Buyer, as liquidated damages and not as a penalty, an amount corresponding to half of one percent (0.5%) calculated on the contractual price of the delayed item for each day of delay after a grace period of ten (10) calendar days up to a maximum liquidated damages amount of five percent (5%) of the delayed Product price, as a reasonable approximation of damages resulting therefrom. These liquidated damages shall be the sole and exclusive remedy available to Buyer for Seller’s late deliveries.
Applicable Law
- These Terms and any Order shall be governed and construed in accordance with the Laws of the State of Florida, USA, without reference to its conflict of laws provisions or the UN Convention for the International Sale of Goods.
Disputes
- The Parties agree that all disputes in any way relating to, arising under, connected with, or incident to any Order, and over which the federal courts have subject matter jurisdiction, shall be litigated, if at all, exclusively in the United States District Court of New York, and if necessary, the corresponding appellate courts. The Parties further agree that all disputes in any way relating to, arising under, connected with or incident to an Order, and over which the federal courts do not have subject matter jurisdiction, shall be litigated, if at all, exclusively in the Courts of the State of Florida, United States of America, and, if necessary, the corresponding appellate courts. All objections to venue are hereby waived by Buyer, and Buyer consents to service or process by certified mail or courier service addressed to the Buyer address on the front of the quotation/proposal. The parties hereby waive trial by jury with respect to any dispute relating to this contract.
Warranty
- Seller warrants its products to be free from defects in material and workmanship for the period stated in Seller’s proposal effective from the date of shipment. For software Products, Seller warrants that Seller’s software, as first delivered by Seller, shall conform substantially to the documentation supplied with such Seller’s software, provided that Seller’s software is installed, implemented and operated in accordance with said documentation and the magnetic media is free from defects in material and workmanship under normal use. For Products supplied to Seller by third party suppliers, Seller shall only transfer to Buyer the warranty terms, period, remedies and obligations as granted to Seller by such suppliers, and any warranty period extension agreed to by Seller is only valid and enforceable for Products manufactured by Seller. Seller’s liability shall be limited to the repair or replacement of the defective item, at the Seller’s sole option, provided: (1) Seller is promptly notified in writing upon the discovery of any defect; (2) Buyer assumes payment of all transportation charges; and (3) Any part/item alleged to be defective shall be returned to Seller for inspection, properly packed and all expenses prepaid by Buyer. Seller will not assume any expense or liability for modifications or repairs made by other than Seller or its authorized agents.
- TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYER’S SOLE AND EXCLUSIVE REMEDY UNDER THIS WARRANTY WILL BE LIMITED TO THE REPAIR OR REPLACEMENT, AT SELLER’S OPTION OF THE DEFECTIVE PARTS. THIS WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES, WHETHER STATUTORY, EXPRESSED, OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND WARRANTIES ARISING FROM COURSE OF DEALING PERFORMANCE OR CUSTOM AND USAGE IN THE TRADE. SELLER SHALL HAVE NO OTHER LIABILITY UNDER ANY THEORY AT LAW, IN EQUITY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, CONTRACT, TORT, (INCLUDING INTELLECTUAL PROPERTY INFRINGEMENT AND NEGLIGENCE), AND STRICT LIABILITY, FOR ANY LOSS OR DAMAGES INCLUDING, BUT NOT LIMITED TO, SPECIAL, EXEMPLARY, PUNITIVE, INCIDENTAL, INDIRECT, OR CONSUQUENTIAL DAMAGES (EVEN IF SELLER HAS BEEN ADVISED OF SAME) INCLUDING WITHOUT LIMITATION, LOST PROFITS OR REVENUES. ANY ACTION AGAINST SELLER MUST BE BROUGHT WITHIN ONE (1) YEAR AFTER THE CLAIM AROS
- In the event Seller repairs or replaces a defective item under the foregoing warranty, the warranty period for the repaired or replacement item shall extend for the remaining warranty period of the original product.
- Defects or failures attributable to misuse, damage, negligence, improper storage or installation, unauthorized modification or repair by the Buyer or any third party user, or malfunction or failure resulting from nonconformance or non-compliance by Buyer or third party user with Seller's Line Maintenance and Pilot Guides, Component Maintenance Manuals or other familiarization instructions furnished by Seller, are excluded from this warranty. Should Buyer or a third party break the seal on a Product identified as a Line Replaceable Unit or Test Equipment without Seller’s prior written authorization, this warranty shall be void for such Product. Inspection or repair of Products under warranty shall not interrupt or extend the warranty period
Obsolescence of Parts
- While Seller intends to provide parts in accordance with original design requirements, Seller reserves the right to make part substitutions provided the substituted part has the same form, fit and function as the item it replaces.
General
- The provisions of these Terms are severable and the invalidity, illegality or unenforceability of any one or more of its provisions shall not affect the validity and enforceability of any other provisions. If any provision of these Terms is declared to be invalid, illegal, or unenforceable the Parties agree that the court of competent jurisdiction should substitute a valid and enforceable provision that, to the maximum extent possible in accordance with all applicable law, preserves the legal and economic positions of each Party as intended in these Terms. Headings used in these Terms are for reference purposes only and shall not be deemed a part of these Terms or an Order. The waiver by any Party of any remedy for breach of any provision hereof shall not be taken as a waiver of any remedy with respect to any other breach of such provision or any other provision. These Terms constitute the entire agreement between the Parties with respect to the subject matter hereof and supersede and merge all prior or contemporaneous proposals, negotiations, understandings and agreements, whether oral or written, relating to the subject matter hereof. These Terms shall not be released, discharged, waived, abandoned or modified, in whole or in part, except by a written instrument duly executed by both Parties. SELLER DOES NOT ASSUME ANY OBLIGATIONS OR LIABILITIES IN CONNECTION WITH THE SALE OF ITS PRODUCTS OTHER THAN THOSE EXPRESSLY STATED IN THIS INSTRUMENT.
Assignment
- All rights and obligations under these Terms and any Orders issued by the Buyer to the Seller shall inure to the benefit of the Parties and their successors and shall not be assigned, novated, or otherwise transferred, whether by contract, operation of law or otherwise, by either Party without the other Party’s prior written consent, except that Seller may assign or novate any Order to its parent company(ies), any subsidiary, affiliate, and joint venture partner.
Amendments of these Terms
- These terms can only be changed by mutual written agreement of the Parties.
Non-Disclosure
- Buyer acknowledges that all proposals, drawings, diagrams, specifications, devices, information, documents and other materials (except as established to be in the public domain) furnished by Seller and identified as “Confidential” or “Proprietary Information”, including but not limited to manuals provided by Seller (“Confidential Information”), contain valuable proprietary information or trade secrets developed at great expense by Seller. Buyer agrees to hold Confidential Information in confidence, and not to use, reproduce, distribute, or make available Confidential Information except to Buyer’s employees (and agents who agree to these terms) who may use it as part of their duties. Buyer agrees to report promptly to Seller any unauthorized disclosure of any Confidential Information
